These Terms of Service ("Terms") govern your access to and use of any websites, platforms, content, programs, communities, services, or materials (collectively, the "Services") provided by AAA Accelerator Limited ("we," "us," or "our").

By accessing, purchasing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Acceptance of Terms

By accessing or using the Services in any manner, including browsing, registering, purchasing, or logging in, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are accessing the Services on behalf of a business or other entity, you represent and warrant that you have full authority to bind that entity to these Terms.

Additional agreements, including programme agreements or order forms, may apply to certain Services.

2. Eligibility & Authority

You must be at least 18 years of age to access the Services.

By using the Services, you represent that:

  • Your participation is voluntary
  • You have not relied on any external promises or guarantees
  • You have not been coerced or pressured into participation

3. Scope of Services

The Services may include, but are not limited to:

  • Educational content and materials
  • Coaching, mentoring, or advisory support
  • Community access, live or recorded sessions

The Services may change over time. We reserve the right to modify, replace, or discontinue any part of the Services at our discretion.

4. Educational Purpose & No Guarantees

The Services are provided for educational and informational purposes only.

We do not provide legal, financial, investment, or professional advice, and we make no guarantees regarding outcomes, results, income, or business performance.

You acknowledge that your results depend on many factors, including your own effort, experience, and circumstances, and you accept full responsibility for your outcomes.

5. Account Access & Security

Access to the Services is personal, non-transferable, and limited to the individual or entity that registered or purchased access.

You may not:

  • Share login credentials
  • Provide access to third parties
  • Allow others to use your account

You are responsible for all activity that occurs under your account. We may suspend or terminate access for misuse or unauthorised access.

6. Payments & Commercial Terms

Fees, payment terms, and refund policies are disclosed at the point of purchase or in applicable agreements.

Failure to complete required payments may result in suspension or termination of access. Access to the Services is conditional upon payment where applicable.

7. Intellectual Property

All content, materials, frameworks, recordings, systems, trademarks, and resources provided through the Services are owned by or licensed to the Company and are protected by intellectual property laws.

You are granted a limited, revocable, non-exclusive licence to access the Services for personal or internal business educational use only.

You may not copy, record, reproduce, distribute, resell, or otherwise exploit any part of the Services without prior written consent.

All rights terminate immediately upon suspension or termination of access.

8. Community Guidelines & Conduct

If the Services include access to a community or group environment, you agree to engage respectfully and lawfully.

Prohibited conduct includes, but is not limited to:

  • Harassment or abuse
  • Misuse of content or confidential information
  • Unauthorised solicitation or promotion
  • Any unlawful or harmful activity

We reserve the right to monitor activity and to remove content or terminate access at our discretion.

9. Non-Circumvention & Non-Solicitation

You agree not to misuse the Services to solicit, approach, or interfere with:

  • Other members or participants
  • Clients or customers introduced through the Services
  • Our employees, contractors, or representatives

More detailed obligations may apply under separate agreements.

10. Recording, Data & Promotional Use

You acknowledge that sessions, communications, or interactions within the Services may be recorded.

By participating, you grant us the right to use your name, voice, likeness, written or verbal contributions, and anonymised or identifiable materials for educational, internal, or promotional purposes, unless prohibited by law.

We may collect and analyse usage data to improve the Services and may use such data in aggregated or de-identified form.

11. Modification, Suspension & Termination

We may modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice if section 8 is not met by clients.

We may suspend or terminate access if we believe, in our sole discretion, that you have violated these Terms or misused the Services.

Termination of access does not waive any payment obligations under applicable agreements.

12. Disclaimers

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free access.

13. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Services.

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, contractors, and affiliates from any claims, losses, damages, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights

15. Governing Law & Jurisdiction

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts of New Zealand.

16. Relationship to Other Agreements

These Terms operate alongside any programme agreements, order forms, or signed contracts you may enter into with us.

In the event of a conflict, the applicable signed agreement will prevail to the extent of the inconsistency.

17. Updates to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last Updated" date.

Continued use of the Services constitutes acceptance of the updated Terms.
